Conditions of Sale and Delivery

Any derogation from these Conditions of Sale and Delivery shall require the written consent of both the Customer and Grontmij | Carl Bro a|s (hereinafter GMCB).

CUSTOMER RIGHTS AND OBLIGATIONS

These Conditions are the basis of the Customer's right to use the Grontmij | Carl Bro ProjectWeb (hereinafter the System) within the scope of the specified project and with the business partners for the project. The Customer is not allowed to make commercial use of the Grontmij | Carl Bro ProjectWeb.

The right of use shall become effective when the Agreement between the Customer and GMCB is signed.

The Customer shall be entitled to use the software at the Internet address stated in the Agreement signed with the Customer or subsequently communicated in writing to the Customer by GMCB.

The Customer's right to use the programs shall not be exclusive.

Grontmij | Carl Bro’s OBLIGATIONS

Access to system
GMCB shall be obliged to keep the system operational for the duration of the right of use.

As response times depend on the current GMCB web server load and the general Internet load, GMCB cannot guarantee any response time limit.

Brief interruptions of access to the system may occur to allow error correction, preventive maintenance, etc.

Responsibility for the use of the system
GMCB shall not be held responsible for any direct or indirect damage or loss, consequential loss or loss of profits resulting from the use of the system.

If any errors are found in the system, the Customer can e-mail an error report to projectweb@carlbro.dk.

ASSISTANCE AND GUIDANCE

A user's guide to the system is accessible at the same web site as the system.  Individual assistance is also available from GMCB. The invoicing will be based on current hourly rates and the time consumed with 30 minutes as minimum

TERM OF AGREEMENT

The right of use shall be automatically prolonged until terminated by one of the parties. 

The Customer may terminate this Agreement by giving one (1) month's prior written notice to expire on the last day of any Period of Agreement. GMCB may terminate this Agreement to expire within a Period of Agreement in case of breach of the Agreement by the Customer. 

PRICES AND PAYMENT

GMCB maintains a price list stating services and hourly rates. Grontmij | Carl Bro may revise the price list at any time giving one month's prior written notice. Price adjustments will have no bearing on services already paid for.

Where nothing else is arranged, an invoice is forwarded when the subscription is taken out; the subscription is then invoiced in advance every three (3) months.

If payment is not received by GMCB within 14 days from the date of the invoice, interest consisting if the discount rate plus 5% will accrue and be debited to the subscriber's account, starting from the due date. Failure to pay within with these terms of payment shall be considered as breach of Agreement.

RIGHTS

The system remains the property of GMCB and its sub-suppliers.

FORCE MAJEURE

In the event of either the Customer or GMCB being prevented from keeping this Agreement by circumstances beyond their scope and control, the party experiencing such circumstances shall be released from his obligations under this Agreement for as long as such circumstances shall prevail. The question whether the other party may cancel the Agreement, shall be decided according to the ordinary rules of Danish law. The other party shall not be entitled to compensation.

ARBITRATION

Any disputes arising from the present Agreement shall be settled according to Danish law. Any doubts regarding the understanding of the present Agreement, its contents, extent, termination, or performance that cannot be settled amicably shall be decided by Copenhagen Arbitration, whose decision shall be final and binding.
